Kid version: A utility token is like an arcade token. You use it to pay for something on a network, such as storing a file or running an app.
The SEC does not have a separate "utility token" category. Its Release 33-11412 (Mar 2026) sets 5 types: digital commodities, digital collectibles, digital tools, stablecoins and digital securities. It says the first three are not securities in themselves but can be sold as part of an investment contract. Its "digital tools" are tokens with a practical function, such as a membership, ticket, credential, title instrument or identity badge. Native network tokens may be digital commodities. Source: SEC Release 33-11412 (PDF); Federal Register, Mar 23, 2026.
An investment contract is judged by the Howey test, from SEC v. W.J. Howey Co. (1946): money invested in a common enterprise, expecting profits from the efforts of others. In the EU, MiCA Article 3(1)(9) defines a utility token as a crypto-asset only meant to give access to a good or service supplied by its issuer. Source: EU MiCA Regulation 2023/1114.

Our analysisborderline. It pays gas on BNB Chain, but Binance runs its burns, offers its fee discounts and launched the chain, so much of its value depends on one company.

How to judge any utility token
- Real demand: fees users pay, compared with market cap.
- Value capture: does using the network burn, lock or require the token?
- Supply: new issuance versus burn, plus tokens not yet circulating.
- Concentration: how much the biggest addresses hold. Big shares are often exchange, bridge, staking or escrow contracts, not single owners.
- Legal status: SEC category and EU MiCA status.
